Singapore-China Trade & Investment Forum, Singapore, 11th to 13th November, 2017 Michelle Ye, the compliance associate of HJM Asia Law, attended the “Singapore-China Trade & Investment Forum” organized by the Singapore Business Federation and China Council for the Promotion of International Trade (CCPIT) in Singapore. Spearheaded by the Singapore Business Federation (SBF), the Belt and Road Initiative (“BRI”) Connect Platform consisted of a series of business matching and networking events. Michelle represented HJM amongst approximately 80 top business leaders from various industries across China, including logistics & transportation, finance, ICT, hospitality and tourism. The International Bar Association held its 3rd Annual “Investing in Africa” Conference in Paris, France on June 22nd to 23rd, 2017. Convinced that the next big wave is Asia in Africa, HJM managing partner, Caroline Berube, spoke at the session: “Opportunities and Challenges for Investors and how advisors can assist” sharing her experience about Chinese, Singaporean and other Asian investors doing business in Africa. The panel was composed of investors and advisors offering insight on best advices for corporate clients seeking opportunities on the African continent emphasizing also on the diversity of the continent on which Caroline agreed given her knowledge of the Asia Pacific region and its diverse cultural and economic diversity similar to Africa. Panellists were very diversified, knowledgeable on the topic as well as international coming from China, the USA, South Africa, Switzerland and Belgium.

McGill MBA International Study Trip, Singapore, April 18th to 28th, 2017 On the occasion of McGill University, Desautels Faculty of Management, MBA International Study Trip 2017 to Singapore, Caroline Berube was a speaker on the topic “The Ins and Outs of Doing Business in Singapore and South-East Asia – a Legal Insider’s Perspective”, which session took place on April 23 rd, 2017.

Caroline also attended the networking reception organized by the High Commission of Canada to Singapore, to meet with MBA students, on April 26 th, 2017. As President of the McGill alumni, it is always with great pleasure that Caroline participates in events involving McGill students. Inter-Pacific Bar Association 27th Annual Meeting and Conference “Connectivity & Convergence”, Auckland, April 6th to 9th, 2017 Caroline Berube, the managing partner of HJM Asia Law, attended the IPBA Annual Meeting which took place in Auckland in April 2017. On that occasion, it is with great excitement that Caroline Berube was appointed Secretary-General from 2017 to 2019. Caroline was also a speaker at the Cross-Border Investment Committee (CIBC) session on “Drafting cross-border contracts”.

New Zealand International Social Media Association Launch, Wellington, April 3rd, 2017 As one of ISMA’s Board Members, Caroline Berube attended ISMA launch successfully held and organised by Scott Moran from Duncan Cotteril in Wellington, New Zealand.

International Bar Association, 5th Asia Pacific Regional Forum Biennial Conference, Mumbai, February 15th to 17th, 2017 Caroline Berube had the honour to be on a panel with great moderators Walid Azzam, from Hadef & Partners in Dubai, United Arab Emirates and also Officer of the Arab Regional Forum and Vivek Vashi from Bharucha & Partners, Mumbai, India who kept our session titled “Dispute resolution clauses in commercial agreements in Asia” very interactive and engaging with the audience. International Business Law 2016-2017 Intellectual Property in Asia, December 2016 Teaching “Intellectual Property in Asia” to the class of, LL.M. International Business Law 2016-2017 in December 2016 was again a great experience for our Managing Partner, Caroline Berube. She is a Canadian New York/Singapore attorney who has been based in Asia and handling corporate/ commercial law with technology companies from all over the world dealing with their IP matters in the Asia Pacific region for more than 18 years. She has built up a well-respected level of expertise and is especially well-regarded for her practical advice on technology transfer, IP special vehicles and IP matters in Asian countries. Primerus Global Conference 2016, Washington D.C., October 13th to October 16th, 2016 Primerus, society of world’s top independent boutique law firms, held its Global Conference 2016 in Washington D.C. Caroline Berube, the Managing Partner of HJM Asia Law, was a panellist at a session titled “Commercial Leasing – Cross Border Pitfalls to Avoid”. Caroline covered risks arising when negotiating a commercial lease when setting up a factory or warehouse in various countries in Asia.

International Bar Association 2016 Law Firm Management Conference, Evolution or revolution – growth and international expansion of law firms in Asia, Tokyo, October 17th, 2016 As Co- Chair of Asia Pacific Regional Forum of the International Bar Association, Caroline Berube, the Managing Partner of HJM Asia Law moderated a session on “Talent management: best practices for keeping your people happy ” at Law Firm Management Conference held in Tokyo. The session focussed on retaining the best talents and creating a better place to work in boutique and international law firm in India, Hong Kong, Japan and China. Interlegal General Assembly Meeting, Barcelona, October 23rd, 2016 Caroline Berube, the Managing Partner of HJM Asia Law as the Chairperson of the Corporate Group of Interlegal, was a speaker at the Interlegal General Assembly Meeting held in Barcelona. The session focussed on 10 key points in a M&A Technology Transaction in China. Interlegal with its significant presence caters to full range of corporate services, completed by knowledge of business, customs and local culture within each country and held its annual meeting with EURA Audit, a group of accounting firms from all over the world.

International Bar Association, 2nd Annual M&A in the Technology Sector Conference 2016, Tel Aviv, October 28th/29th, 2016 The conference was jointly presented by the IBA Corporate and M&A Law Committee and the IBA Technology Law committee. Caroline Berube, given her experience in IP, her position as Officer of the Intellectual Property Committee and her corporate law experience, spoke at a session titled “Due Diligence in Technology transactions, with a focus on privacy and big data issues”. The session focused on end to end execution of IP transactions and challenges in cross-border asset transactions. The full programme of the event can be viewed. 19th Annual IBA International Arbitration Day, March 3rd-4th, 2016 (Shanghai) Given the strong commitment of the IBA (International Bar Association) to increasing membership and engagement in China, the 19 th Annual IBA International Arbitration day was held in China.

Additionally, David Rivkin, the President of the IBA jointly with the IBA China Working Group (which Caroline Berube co-chairs), organized exclusive lunch events in Beijing and Shanghai ahead of the conference which were attended by local legal experts and leaders. All of the events, the lunches and the conference, were a huge success.

IPBA 2016 Annual Meeting and Conference, April 13th-16th, 2016 (Kuala Lumpur) Caroline Berube, the Managing Partner of HJM, attended the IPBA 2016 Annual Meeting & Conference which took place in Kuala Lumpur in May 2016. Caroline was a speaker at the “Labor law issues in the M&A transactions “ session during the conference where she covered Singapore and China and spoke on the topics such as the validity of the employment contract and applicable labour law. Teaching Assignment at the Executive Legal International Spring Class, Sorbonne Assas International Law School, March 2016 Caroline Berube taught a 10 hour “Legal Environment for Doing Business in Asia” class at the, Asia Campus. Caroline has over 18 years of experience of working in China and is well versed in local “ways of doing business”.

As Caroline is a Western foreign lawyer in China, she also provides a unique perspective which her Western clients appreciate when expanding into China. Caroline covered topics such as Laws/regulation and court system in China, legal frameworks, various contracts, legal structure, corporate law, labor and employment law and IP in China. McGill MBA International Study Trip, April 26th, 2016 (Singapore) Every year the Desautels Faculty of Management- McGill University organizes a 10-day international study trip which aims to provide MBA students with a comprehensive understanding of business and its practice in a specific non-North American context. For the second year in a row, this trip has taken place to Singapore. It is designed to be a mid-program capstone course that builds on the other 3 pillars of our MBA Program: Core, Specialization and Experiential components.

The trip is a key vehicle for delivering the program’s objective of cultivating and refining a worldly mindset among our MBA constituents. As part of this trip, Caroline spoke to the MBA students on the topic of “The Ins and Outs of Doing Business in Singapore and South East Asia – a legal insider’s perspective”. There were also various networking events organized for the students and the McGill Alumni in Singapore, including a cocktail evening held at the High Commission of Canada. International School of Asia, Karuizawa (ISAK) Presentation, February 21st, 2016 (Karuizawa, Japan) HJM and Caroline pride themselves in giving back to the community. To do, Caroline was a guest speaker at the International School of Asia, Karuizawa (ISAK). ISAK is a fully residential, 3-year international high school located in Karuizawa, Japan. Caroline got to visit the school and talk to the students about her professional, entrepreneurship and her personal journey. She talked about becoming a lawyer, overcoming challenges of opening her firm in China and her passion for her career. Caroline loves talking to the younger generation and hopefully inspiring some of them to pursue a career in law. ISAK is set up by another Young Global Leader.

Alliance of Merger & Acquisition Advisors (AM&AA) Winter Conference, January 2016 (Orlando) Caroline Berube attended a AM&AA conference in Florida this January. AM&AA is the premiere International Organization serving the educational and resource needs of the middle market M&A profession (website: ). Caroline attended her first conference as a speaker at the “Cross Border M&A Roundtable: An International Update On Deal Making Abroad” session where she lead the group discussion on recent trends in international mergers & acquisitions and addressed questions such as challenges and best business practices with cross-border M&A, expectations around pricing, structure, value creation and post-merger integration, triggers for cross border M&A among other topics. Teaching Assignment at the Executive Legal International Summer Class, Sorbonne Assas International Law School, July 2015 Caroline Berube, the Managing Partner of HJM Asia Law, taught a 17-hour summer executive course at the Sorbonne Assas International Law School, Singapore Campus for the second summer in a row. La Commission Chine du Barreau de Paris, May 18th, 2015 (Paris) Caroline Berube was a guest speaker at the La Commission Chine du Barreau de Paris (China Commission of the Paris Bar). Caroline spoke on the topic of “How to make sure to get paid by your Chinese customers and ‘must have’ clauses in contracts” and discussed topics such as ensuring the payment- preventative measures, means of payment, and dispute resolution; creditors’ rights; and showcased various study cases. The Anti- Corruption campaign has been gaining momentum ever since the new chairman Xi Jing Ping took over the position.

The “shock and awe” approach has achieved significant results across different sections of the Party, the government, and the military. The consequences of being found guilty of corruption in China are greater for foreign companies than for domestic firms, and prosecutions could cause serious damage to overseas investors’ development in the country. Caroline presented on “Pitfalls in Commercial Contracts and IP risks in China and other Asian jurisdictions.” Established in 1858, KCBA is a professional legal organization with membership of over 1200 attorneys, judges, paralegals and students. Caroline discussed topics such as assessing a distributor or manufacturer, key terms in sales and purchase agreements, distribution agreements and NDAs, how to get paid by your Asian clients and protection of IP in Asia.

Regional Employment Law Asia Masterclass, April 8-9th, 2015 (Singapore) For the second year in a row, Caroline Berube was a speaker at the « Regional Employment Law Asia Masterclass » which took place in Singapore. Caroline lead the session titled « Employment Issues and Legislative Changes in China » which included topics such as recent legal developments in PRC, understanding collective labour actions, common mistakes in failing to enact company rules and policies, handling of termination under the law, labour dispute resolutions, notable case studies, HR policies and engaging unions and industrial relations.

IBA 4th Asia Pacific Regional Forum Conference: Borderless Asia, Cross-Border Commercial Agreements, March 20th, 2015 (Singapore) Caroline Berube was on the organizing committee for the IBA 4th Asia Pacific Regional Forum Conference: Borderless Asia which took place in Singapore from March 18 th-20 th, 2015. Caroline is the Senior Vice-Chair of the IBA Asia Pacific Forum (APF) and was the chair of the “Cross-Border Commercial Agreements” session which took place during the conference. Caroline arranged a diverse group of speakers (General Counsels and Lawyers) from different backgrounds and regions. Caroline is the Senior Vice-Chair of the Asia Pacific Forum (APF) and was the major driving force behind the Women’s Networking Breakfast which took place during the conference. The Women’s networking breakfast is part of an ongoing initiative of the Asia Pacific Forum to bring women members of the IBA together to discuss a range of opportunities and challenges that impact professional women. The event was a huge success with over sixty attendees and featured a panel with speakers of various backgrounds (SMU, LinkedIn, Stamford Law, Clarkson Securities Ltd and Pioneer Marine) who shared their insights on topics such as their leadership journey, rising the ranks as a woman and diversity agenda in their industries. IBA, The Fundamentals of International Legal Business Practice, March 18th, 2015 (Singapore) Caroline Berube participated in a young lawyer training program which took place in Singapore and was a speaker at the “Roundtable Discussion- Career Models for Young Lawyers in the Modern Law Firm.” The traditional career model for law firms of either becoming a partner or leaving the firm appears to have become less attractive. Has the career model for young lawyers changed in Asia? Will modern law firms in the future have non-partner lawyers who are successfully involved in client work on a permanent basis? What are the pros and cons of introducing such alternative models in Asia? All of these issues were addressed during the session.

Women in Leadership Summit, January 29-30th, 2015 (Singapore) The Women in Leadership Summit, organized by Avent Edge, took place on the 29-30 th of January 2015. Featuring Caroline Berube as a speaker on the distinguished panel, insights were shared by the speakers of the tribulations that women have overcome to become the forerunners of businesses in the ever changing industry today. Primerus 2014 Global Conference, October 9-12th, 2014 (Monterey) Caroline Berube attended the Primerus 2014 Global Conference which took place in Monterey. Caroline represented the Primerus Business Law Institute – Asia Pacific (PBLI-AP) at the conference and was a moderator during the International Session which was attended by other international members from the Europe, Middle East & Africa and Latin America & Carribean institutes. Caroline’s term as the newest chair of the Primerus Business Law Institute – Asia Pacific (PBLI-AP) commenced at the conference.

Wisconsin International Trade Conference, May 13th, 2014 (Milwaukee) Caroline Berube was a speaker at the 50th annual Wisconsin Trade Conference which took place today in Milwaukee. Caroline lead an afternoon session titled “China and India.” The session touched upon the opportunities and challenges of China and India and discussed why and how you should be including these mega markets in your business strategy. Inter-Pacific Bar Association 24th Annual Meeting & Conference, May 5-11th, 2014 (Vancouver) Last week Caroline Berube, managing partner of HJM Asia Law, attended the Inter-Pacific Bar Association (IPBA) 24th Annual Meeting & Conference in Vancouver. This was Caroline’s last conference as the IPBA Publications Committee Chair where she handed off the responsibilities to Maxine Chiang, formerly a Vice-Chair of the Committee.

Regional Employment Law Asia Masterclass, April 7-8th, 2014 (Singapore) This week, Caroline Berube was a speaker at the “Regional Employment Law Asia Masterclass” which took place in Singapore. Caroline lead the session titled “Employment Issues and Legislative Changes in China” which included topics such as recent legal developments in PRC, understanding collective labour actions, common mistakes in failing to enact company rules and policies, handling of termination under the law, labour dispute resolutions, notable case studies, HR policies and engaging unions and industrial relations.

Sorbonne-ASSAS International Law School Presentation, March 14th, 2014 (Singapore) Last Friday the managing partner of HJM Asia Law, Caroline Berube, spoke to LLM students at the about her experiences as a lawyer. Primerus Young Lawyers Section Boot Camp, International Communications Session, February 7th, 2014 Managing Partner of HJM Asia Law, Caroline Berube, is one of the panellists for the “International Communications” session, taking place at the via online streaming.

Caroline will discuss topics such as “a Day in the Life” of a foreign lawyer, interacting with clients, getting business, cultural norms and language issues, communication with a foreign co-counsel and communication with foreign clients. IBA APF/KBA//YLC Training Day, November 21-22nd, 2013 (Seoul) This week Caroline Berube is speaking at the IBA conference titled “The Fundamentals of International Legal Business Practice Changing Times: Legal Trends in the Asia Pacific Region” in Seoul, Korea. Caroline is speaking at the “Cross-border M&A in Asia” session where she will elaborate on China’s foreign investment, trends around due diligence, development of shareholder activism and other related topics. The conference aims to provide young Korean lawyers with practical training on a range of international business practice issues. POPAI Shopper Marketing and Insights Asia Conference, November 18-19th, 2013 (Singapore) Caroline Berube will be a speaker for the session titled “Evolving Intellectual Property Rights and Protections” which is taking place from 3pm-3:45pm on Monday, November 18 th in Singapore. IBA-JFBA Joint Conference, November 12-13th, 2013 (Tokyo) This week Caroline Berube is attending the IBA-JFBA joint conference in Tokyo, Japan. Caroline was a speaker at the Plenary Session One on the topic of “Strategy and planning: considerations and issues involving cross-border legal services in Asia.” Caroline talked about challenges and issues faced by law firms involved in cross-border legal services in Asia from a boutique law firm perspective.

August 12th, 2013- Global Vision Junior Team Canada Caroline Berube presented to Global Vision Junior Team Canada on the Legal Environment in ASEAN during a trade and development mission in Singapore in August. Junior Team Canada is a national youth delegation that represents Canadian business interests on the national and international stage. 20-30 delegates are selected through a nationwide selection process to participate in the program each year, designed to prepare these future Canadian leaders for success in the global marketplace.

Asia Pacific Forum News, March 2013 Caroline Berube, the Managing Partner of HJM, is the vice-chair for the Asia-Pacific Regional Forum for the International Bar Association (IBA). November 28th, 2012 (Kuala Lumpur, Malaysia) Following the IBA Asia Pacific Forum meeting in KL, Caroline Berube will be coordinating with Mr. Ng Swee Kee of Shearn Delamore to moderate a training session for young lawyers titled: “Due Diligence and Transaction Structuring in Cross-Obrder Transactions in Southeast Asia”.

The session involves a round-table discussion involving in-house counsel and lawyers with an Asian practice. It will cover, amongst others, the different focus of due diligence exercises depending on the nature of the transaction, for example, whether an M&A, IPO or Greenfield project and the challenges, pitfalls, regulatory/compliance and investment requirements in different countries in Asia. The session will highlight how the data and information from a due diligence may be used to structure a transaction or investment to minimise investment risks.
